1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ResponderOS, Inc. doing business as EMS SOAP ("EMS SOAP," "Company," "we," "us," or "our"), governing your access to and use of the EMS SOAP website, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Healthcare Disclaimer: EMS SOAP is designed to assist emergency medical services professionals with documentation and protocol reference. While we are actively pursuing HIPAA compliance, we are not yet HIPAA certified. The Services are not intended to replace professional medical judgment. Users are responsible for ensuring their use of the Services complies with all applicable healthcare regulations and their organization's policies.

2. Description of Services

EMS SOAP provides AI-powered tools for emergency medical services professionals, including:

  • SOAP narrative generation from voice or text input
  • Medical protocols reference and assistance
  • Voice transcription for medical documentation
  • Organization management and user administration

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. User Accounts

3.1 Account Types

EMS SOAP offers the following account types:

  • Demo Accounts: Free accounts for evaluation purposes with limited functionality. Demo accounts are provided at our discretion and may be subject to usage limitations.
  • Organization Accounts: Full-featured accounts provided through a service agreement with your organization. Contract terms (such as 6-month or annual agreements) are specified in your organization's service agreement.

3.2 Account Creation

To access the Services, you must create an account or be invited by your organization. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms. Demo accounts may be terminated at any time without notice.

4. Fees and Payment

4.1 Service Agreements

Access to EMS SOAP is provided through service agreements with organizations such as ambulance services, fire departments, and other emergency medical service providers. Pricing and terms are established through direct engagement with our team.

4.2 Payment Terms

Payment terms, including fees, billing frequency, and payment methods, are specified in your organization's service agreement. By using the Services, you acknowledge that your organization has agreed to the applicable payment terms.

4.3 Taxes

Unless otherwise stated in your service agreement, fees are exclusive of applicable taxes. We will collect sales tax where required by law. Your organization is responsible for any additional taxes associated with your use of the Services.

4.4 Price Changes

Any changes to pricing will be communicated in accordance with the terms of your service agreement. Price changes for renewal terms will be communicated in advance as specified in your agreement.

5. Term and Termination

5.1 Service Term

The term of your access to the Services is governed by your organization's service agreement. Access continues for the duration specified in that agreement unless terminated earlier in accordance with these Terms or the service agreement.

5.2 Termination by Organization

Your organization may terminate the service agreement in accordance with the terms specified therein. To initiate termination, contact us at contact@emssoap.com.

5.3 Termination by Company

We reserve the right to suspend or terminate access to the Services if you or your organization violates these Terms or the service agreement. We may also terminate for non-payment or other material breach as specified in your service agreement.

5.4 Effect of Termination

Upon termination, your access to the Services will cease. Any provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including privacy and intellectual property rights
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services for any purpose other than their intended professional healthcare documentation use
  • Share your account credentials or allow others to access your account
  • Reverse engineer, decompile, or disassemble any aspect of the Services

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by EMS SOAP and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

7.2 Your Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a limited license to use, process, and display such content solely for the purpose of providing the Services to you.

7.3 Feedback

If you provide feedback or suggestions about the Services, we may use such feedback without any obligation to compensate you.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

9. Data Security

We implement reasonable security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee its absolute security.

10. Third-Party Services

The Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT PROVIDED THROUGH THE SERVICES.

THE SERVICES ARE NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY OUTPUT AND FOR ALL CLINICAL DECISIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMS SOAP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless EMS SOAP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@emssoap.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and EMS SOAP regarding the Services. In the event of a conflict between these Terms and a service agreement, the service agreement shall control with respect to the subject matter of that conflict.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
